Codolve is a digital product studio providing web development, UI/UX design, SEO, digital marketing, API automation, hosting, and maintenance services. All services are provided on a project or retainer basis as defined in individual agreements or proposals.

Project scope, timelines, pricing, and deliverables are defined and agreed upon before work begins through a written proposal, contract, or statement of work. Any work requested outside the agreed scope may be subject to additional charges and revised timelines, which will be communicated before proceeding.

Codolve does not guarantee specific business outcomes such as search engine rankings, revenue increases, or conversion rates unless explicitly committed to in a signed agreement. Results depend on factors including client inputs, market conditions, and third-party platform changes.

4. Client Responsibilities

To deliver work on time and to the agreed standard, clients are expected to:

Delays caused by late client feedback, missing materials, or unresponsiveness may affect project timelines and are not the responsibility of Codolve.

6. Intellectual Property

All design drafts, concepts, source code, and deliverables created by Codolve remain the intellectual property of Codolve until full payment is received. Upon receipt of all outstanding payments, ownership of the final agreed deliverables transfers to the client as specified in the project agreement.

Codolve retains the right to display completed work in its portfolio unless explicitly agreed otherwise in writing. Third-party tools, libraries, or frameworks used in projects remain subject to their respective licences.

7. Confidentiality

Both parties agree to treat any commercially sensitive or proprietary information shared during a project as confidential. Codolve will not disclose client information to third parties except where necessary to deliver the agreed services or where required by law.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Codolve shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our website or services, including but not limited to loss of revenue, data, or business opportunity. Our total liability to any client shall not exceed the fees paid for the specific project giving rise to the claim.

9. Third-Party Services

Projects may integrate third-party tools, platforms, APIs, or services. Codolve is not responsible for downtime, changes in functionality, pricing changes, or discontinuation of third-party services. Any ongoing costs for third-party services (e.g. hosting, analytics, APIs) are the client's responsibility unless explicitly agreed otherwise.

10. Termination

Either party may terminate a project agreement with written notice if the other party is in material breach and fails to remedy the breach within 14 days of notification. Codolve reserves the right to immediately suspend or terminate services if payment obligations are seriously overdue or if these Terms are materially violated.

Upon termination, any fees for work completed up to the termination date remain payable.

Your use of this website is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

12. Governing Law

These Terms are governed by applicable law in the jurisdiction where Codolve is registered. Any disputes arising from these Terms or from the provision of services shall first be sought to be resolved through good faith negotiation. If a resolution cannot be reached, the parties agree to resolve the dispute through binding arbitration or as outlined in the specific project agreement.

13. Changes to These Terms

Codolve may revise these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the website after changes are posted constitutes your acceptance of the revised Terms for website usage. For active service agreements, the terms in force at the time of signing apply unless both parties agree to updated terms in writing.
